Terms of Use (“Terms”) govern your access to and use of the Wescle Suite (wescle.com) (including the WordPress Plugin and WordPress Template) provided by PE Mandrik S.I. (TIN: 3289415036). The Wescle Suite includes our AI-powered tools, web builder, CRM, automation services, chat widgets, and other related services (collectively, the “Services”). By accessing or using our Services, you agree to comply with these Terms. If you do not agree to these Terms, you may not use our Services.

1. Acceptance of Terms

  • By accessing and using Wescle Suite, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must discontinue your use of the Services immediately. Continued use of the Services constitutes acceptance of the Terms.
  • By using the Services, you affirm that you are legally capable of entering into this agreement and that you meet the eligibility criteria outlined in these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Scope of Services

Wescle Suite provides AI-powered solutions, including:

  • Website building and management tools.
  • CRM and customer relationship management features.
  • AI-driven content automation.
  • Chat widgets for customer interaction.
  • SEO and analytics solutions.
  • Integration with third-party APIs, including OpenAI, Gemini, Anthropic AI, Stability AI, Unsplash, and Google APIs.

3. User Responsibilities

Users agree to:

  • Provide accurate, current, and complete information during registration and keep it up to date.
  • Maintain the confidentiality of account credentials and take full responsibility for all activities under their account.
  • Use the Services in compliance with all applicable laws, regulations, and ethical standards.
  • Respect intellectual property rights and not infringe on copyrights, trademarks, or proprietary content.
  • Notify Wescle immediately of any unauthorized account use or security breaches.
  • Configure security settings appropriately to safeguard sensitive information.
  • Abide by fair usage limits, defined as reasonable use of the Services within standard operational levels to prevent excessive API calls or activities that could degrade platform performance.

4. Third-Party Service Dependencies

Wescle Suite integrates with multiple third-party services and APIs to provide enhanced functionality and automation features. By using our Services, you acknowledge and agree to the following:

  • Wescle Suite leverages third-party AI services such as OpenAI, Gemini API, Anthropic AI, and Stability AI for content generation, automation, and analysis.
  • Users utilizing their own API keys for third-party integrations must ensure compliance with the respective provider’s policies, including usage limits, data processing guidelines, and security measures.
  • Service availability and performance are subject to third-party service uptime and Wescle is not responsible for any disruptions caused by such services.
  • Updates to third-party services may impact Wescle Suite’s operations, and users will be notified of any significant changes affecting their use of the platform Services.

5. Ownership and Licensing

AI-Generated and Non-AI Content:

  • Any content generated using Wescle Suite AI tools is owned by the user, subject to third-party licensing terms and applicable intellectual property laws.
  • Content created using Wescle Suite’s non-AI tools, such as website builders and automation features, is also owned by the user, provided it does not incorporate Wescle’s proprietary templates or assets.
  • Wescle does not claim ownership over user-generated content but reserves the right to monitor compliance with these Terms.
  • Users are responsible for ensuring that their content does not infringe upon third-party rights or violate legal standards.

Software and Plugins:

  • Users installing Wescle plugins on their WordPress sites retain ownership of their content and are responsible for their website’s compliance with relevant laws and regulations.
  • Users may integrate their own AI API keys; however, Wescle retains full rights over the software framework, including its design, structure, and updates.
  • Unauthorized distribution, modification, or reverse-engineering of Wescle Suite plugins is strictly prohibited.
  • Users grant Wescle the right to access and monitor the installed plugins to ensure compliance with licensing terms and security best practices.

Intellectual Property Rights:

  • All trademarks, logos, and proprietary materials associated with Wescle Suite remain the exclusive property of Wescle.
  • Users are prohibited from using Wescle’s branding or trademarks without prior written consent.
  • Any improvements, modifications, or derivative works based on Wescle Suite services shall automatically vest in Wescle unless otherwise agreed in writing.
  • Users are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services strictly in accordance with these Terms.
  • This license does not grant users any rights to reproduce, distribute, modify, or create derivative works of the Services beyond their intended use.
  • Any breach of intellectual property rights may result in immediate termination of access to the Services, legal action, and liability for damages.
  • Wescle reserves the right to pursue all available legal remedies to protect its intellectual property rights.

6. Prohibited Activities

Users must not:

  • Use the Services for any illegal, fraudulent, or unethical purposes.
  • Upload, share, or generate content that violates intellectual property rights or privacy regulations.
  • Attempt to reverse-engineer, decompile, modify, or distribute Wescle’s software without prior written consent.
  • Engage in activities such as spam, phishing, malware distribution, or deceptive practices.
  • Overload the system with excessive API calls, automated queries, or unauthorized data scraping.
  • Use AI-generated content to mislead, deceive, or manipulate others.
  • Attempt to bypass security features, access restricted areas, or interfere with Wescle Suite’s infrastructure.
  • Share account credentials with unauthorized individuals or entities.
  • Use the Services in a way that could harm Wescle Suite’s reputation, performance, or security.

7. Data Privacy and Security

  • Wescle Suite implements industry-standard encryption and security protocols to protect data in transit and at rest.
  • Data processed via third-party APIs is handled securely and in compliance with applicable data protection regulations, such as GDPR.
  • AI chat interactions and other data inputs processed by third-party services do not contribute to training models as per their respective privacy policies.
  • Users must configure security settings appropriately when using our Services to safeguard their data.
  • When integrating their own API keys, users are solely responsible for compliance with data privacy laws and ensuring that their configurations do not violate third-party service terms.
  • Users are encouraged to implement additional security measures such as two-factor authentication and access controls to prevent unauthorized access.
  • In case of any data breach or unauthorized access, users must promptly notify Wescle Suite support for immediate action and mitigation measures.

8. Payment, Subscriptions, and Refunds

  • Subscription Plans and Billing:
    • Payment for Wescle Suite is subscription-based, offering flexible options including monthly, quarterly, and annual plans.
    • By subscribing, users agree to automatic renewal of their chosen plan unless canceled before the renewal date.
    • Payment methods accepted include major credit/debit cards, and other secure payment gateways available during checkout.
    • Subscription fees are charged in advance and are non-refundable, except as provided in our Refund Policy.
  • Renewals and Cancellations:
    • Subscriptions will automatically renew at the end of each billing period unless canceled by the user through their account settings.
    • Users can cancel their subscription at any time before the renewal date to avoid further charges.
    • If a payment fails, Wescle Suite reserves the right to retry the charge and suspend access to the Services until payment is received.
  • Refund Policy:
    • All payments are final unless the product fails to meet the stated functionality and conditions outlined in our Refund Policy.
    • Refund requests must be submitted within 14 days of purchase, detailing the reason for dissatisfaction.
    • Refunds will not be issued for user errors, changes in personal circumstances, or failure to meet system requirements.
    • Approved refunds will be processed within 7-14 business days and returned to the original payment method.
  • Pricing Changes:
    • Wescle Suite reserves the right to adjust subscription fees at any time. Any changes will be communicated to users at least 30 days in advance.
    • Users will have the option to continue their subscription at the new price or cancel without penalties.
  • Account Suspension and Termination:
    • Failure to renew subscriptions on time may result in temporary suspension of services until payment is received.
    • Wescle Suite reserves the right to terminate accounts with repeated payment failures or violations of the Terms of Use.
    • Users may reactivate their account within 30 days of suspension by completing the due payment.

9. Limitation of Liability

To the fullest extent permitted by law, Wescle Suite and its affiliates, officers, employees, agents, and licensors shall not be liable for:

  • General Disclaimer of Liability:
    • Any direct, indire
    • t, incidental, special, punitive, or consequential damages arising out of or related to the use or inability to use our Services, even if Wescle Suite has been advised of the possibility of such damages.
  • AI-Generated Content Risks:
    • Losses, inaccuracies, or errors resulting from reliance on AI-generated content, including but not limited to decisions made based on AI outputs, automated processes, or generated recommendations.
    • Users are solely responsible for reviewing and validating AI-generated content before implementation or dissemination.
  • Service Availability and Performance:
    • Errors, downtime, or performance issues caused by third-party service dependencies, including but not limited to OpenAI, Gemini, Anthropic AI, Stability AI, Unsplash, and Google APIs.
    • Service interruptions due to maintenance, security updates, or factors beyond Wescle Suite’s control, such as cyberattacks, technical failures, or force majeure events.
  • Data Security and Loss:
    • Unauthorized access to, alteration of, or loss of user data due to security breaches, hacking, or data transmission errors beyond Wescle Suite’s reasonable control.
    • Users are responsible for implementing their own data backup and security measures to safeguard their content.
  • Legal and Regulatory Compliance:
    • Any liabilities arising from the user’s failure to comply with applicable laws, regulations, or third-party service terms when using Wescle Suite.
    • Wescle Suite does not provide legal, financial, or professional advice, and users should consult qualified professionals for specific guidance.
  • Third-Party Integrations and External Links:
    • Damages or losses resulting from the use of third-party integrations, plugins, or links provided within Wescle Suite.
    • Users acknowledge that interactions with third-party services are at their own risk and subject to the respective third-party terms of service.
  • Cumulative Liability Cap:
    • In no event shall Wescle Suite’s total aggregate liability exceed the amount paid by the user for the Services in the preceding 12 months, regardless of the cause of action.

10. Termination and Suspension

Wescle reserves the right to suspend or terminate user access to the Services under the following circumstances:

Non-Payment and Subscription Issues:

  • Failure to renew subscriptions on time may result in temporary suspension of services until payment is received.
  • Suspended accounts may be reactivated upon payment of outstanding fees; however, Wescle is not responsible for any data loss or delays caused by non-payment.
  • Subscriptions will automatically renew unless canceled by the user before the renewal date.

Violations of Terms:

  • Wescle may terminate or suspend access to the Services immediately, without prior notice, if a user violates any provision of these Terms, including but not limited to unauthorized use, breach of intellectual property rights, or engaging in prohibited activities.
  • Users will be notified of the reason for termination, and any appeal must be submitted within 14 days of notice.

Subscription-Based Restrictions:

  • Wescle reserves the right to restrict access to specific features and functionalities based on the user’s subscription level.
  • Users may experience limitations in available services, including premium AI tools, content generation limits, and support levels, based on their active subscription plan.

Inactivity and Discontinuation of Services:

  • Wescle reserves the right to terminate inactive accounts that have not been accessed for 12 consecutive months.
  • Users will be notified via email prior to account deletion and given an opportunity to reactivate their account.
  • Wescle may discontinue Services, in whole or in part, due to unforeseen circumstances, regulatory changes, or operational challenges, with at least 30 days’ notice.

Data Handling Upon Termination:

  • Upon termination or suspension, user data may be retained for a limited period as per our data retention policy, after which it may be permanently deleted.
  • Users are encouraged to download any necessary data prior to termination to avoid data loss.

11. Indemnification

Users agree to indemnify, defend, and hold harmless Wescle and its affiliates from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal and accounting fees) arising from:

  • Violation of these Terms, including unauthorized use of the Services and non-compliance with applicable laws.
  • Misuse of the Wescle Suite platform, including AI-generated content, third-party integrations, and automated processes.
  • Any content users generate, upload, or distribute through the Services that violates any law, regulation, or third-party rights.
  • Any claims from third parties arising from interactions with third-party services, including OpenAI, Gemini, Anthropic AI, Stability AI, Unsplash, and Google APIs.
  • Failure to comply with local, national, or international laws governing the use of the Services.
  • Security breaches resulting from negligence, such as failure to protect login credentials or unauthorized sharing of account access.

Process and Cooperation:

  • Users agree to cooperate fully in the defense of any claim, including providing all necessary information, documentation, and assistance requested by Wescle.
  • Wescle reserves the right to assume exclusive defense and control of any matter subject to indemnification.

12. Intellectual Property Rights

  • Ownership:
    • All intellectual property rights related to Wescle Suite, including but not limited to trademarks, copyrights, patents, trade secrets, and proprietary software, remain the exclusive property of Wescle.
    • Any improvements, modifications, or derivative works based on Wescle Suite services shall automatically vest in Wescle unless otherwise agreed in writing.
  • License Grant:
    • Wescle grants users a limited, non-exclusive, non-transferable, and revocable license to access and use the Services strictly in accordance with these Terms.
    • This license does not grant users any rights to reproduce, distribute, modify, or create derivative works of the Services beyond their intended use.
  • Restrictions:
    • Users may not reproduce, copy, redistribute, sell, lease, sublicense, or otherwise exploit any elements of Wescle Suite without prior written consent.
    • Any unauthorized use of Wescle’s intellectual property, including scraping, reverse engineering, or unauthorized copying of software code, is strictly prohibited.
    • Users shall not remove, obscure, or alter any copyright, trademark, or other proprietary rights notices appearing in the Services.
  • Third-Party Content:
    • Wescle Suite may contain third-party content, including APIs, plugins, and integrations, which remain the property of their respective owners and are subject to their own licensing terms.
    • Users acknowledge that such third-party intellectual property rights are not transferable or sublicensable through Wescle Suite.
  • User-Generated Content:
    • Users retain ownership of any original content they create and upload to the platform; however, by using the Services, they grant Wescle a worldwide, royalty-free, sublicensable license to use, reproduce, modify, and distribute such content solely for the purpose of operating and improving the Services.
  • Violation Consequences:
    • Any breach of intellectual property rights may result in immediate termination of access to the Services, legal action, and liability for damages.
    • Wescle reserves the right to pursue all available legal remedies to protect its intellectual property rights.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ukraine. Users agree to Ukrainian law as the governing framework regardless of their location. However, Wescle recognizes the diverse jurisdictions of its users and, where applicable, local consumer protection laws may apply in addition to these Terms.

  • Applicable Law:
    • These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to conflict of law principles.
    • Users agree that Ukrainian law applies regardless of their location or jurisdiction and that it governs all aspects of the use of Wescle Suite.
  • Dispute Resolution Mechanism:
    • Any disputes, claims, or controversies arising out of or in connection with these Terms shall be resolved through arbitration in Ukraine.
    • The arbitration shall be conducted in accordance with the rules of the Ukrainian Chamber of Commerce and Industry or another reputable arbitration body agreed upon by both parties.
    • The arbitration proceedings shall be conducted in the Ukrainian or English language, as mutually agreed.
    • Prior to arbitration, both parties agree to attempt to resolve the dispute amicably through negotiations.
    • Users acknowledge that Wescle may seek injunctive relief or specific performance in any competent jurisdiction to protect its intellectual property and confidential information.
  • Arbitration Process:
    • Each party shall bear its own arbitration costs, with the final decision on cost allocation made by the arbitrator.
    • The arbitration award shall be final and binding upon both parties and may be enforced in any competent court of law.
  • Alternative Dispute Resolution (ADR):
    • Prior to initiating arbitration, both parties agree to attempt to resolve the dispute amicably through negotiations and good faith discussions.
    • If negotiations fail to resolve the dispute within 30 days, either party may proceed with arbitration.
  • Jurisdiction and Enforcement:
    • In the event arbitration is not applicable, both parties agree to submit to the exclusive jurisdiction of the courts in Ukraine for any legal proceedings.
    • Users acknowledge that Wescle may seek injunctive relief or specific performance in any competent jurisdiction to protect its intellectual property and confidential information.
  • Limitation Period:
    • Any claim arising out of these Terms must be filed within one (1) year after the cause of action arises; otherwise, such claim is permanently barred.

14. Modifications to Terms

  • Wescle reserves the right to update, modify, or amend these Terms at any time to reflect changes in our Services, applicable laws, or business practices.
  • Users will be notified of material changes via email, platform notifications, or updates on our website. Continued use of the Services after the effective date of the revised Terms constitutes acceptance of the changes.
  • It is the user’s responsibility to review the updated Terms regularly. If modifications materially affect your rights or obligations, Wescle will provide additional notice.
  • Users who do not agree with the updated Terms may discontinue use and terminate their account without penalty within 30 days of receiving the notification.
